1. Agreement to Terms

By accessing or using Propefai ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Propefai provides an AI-powered platform for generating business proposals, including:

• AI-generated proposal content using Claude AI technology
• Customizable proposal templates
• Proposal management and organization tools
• PDF export and digital signature capabilities
• Multi-language support

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

When you create an account with us, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your password and account
• Accept all responsibility for activity that occurs under your account
• Notify us immediately of any unauthorized access or security breach
• Not use the account of another user without permission
• Not create multiple accounts to circumvent usage limits

We reserve the right to terminate accounts that violate these terms or engage in fraudulent activity.

4. Subscription Plans and Payment

Propefai offers multiple subscription tiers:

• Free Plan: Limited features with usage restrictions
• Starter Plan: Enhanced features with monthly/annual billing
• Professional Plan: Full features with advanced capabilities
• Business Plan: Team features with collaboration tools
• Enterprise Plan: Custom pricing with dedicated support

Payment Terms:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We reserve the right to change pricing with 30 days notice
• You can cancel your subscription at any time; cancellation takes effect at the end of the billing period
• Failed payments may result in service suspension or termination

5. Payment Processing and Platform Fees

Propefai provides integrated payment processing to enable you to collect payments directly from your clients on proposals.

Stripe Connect Integration:

• Payment processing is provided through Stripe Connect, a third-party payment processor
• You must create and connect a Stripe account to receive payments from clients
• By connecting your Stripe account, you agree to Stripe's Connected Account Agreement and Services Agreement
• Payments from clients go directly to your connected Stripe account
• You are responsible for complying with all applicable tax laws and financial regulations

Platform Fees:

• Propefai charges a platform fee on all successful payments processed through the Service
• The standard platform fee is 5% of each transaction amount
• The platform fee is automatically deducted from the payment before it reaches your account
• For example: If a client pays $1,000, you receive $950 and Propefai receives $50 as the platform fee
• Custom fee rates may be available for high-volume users at our discretion
• Platform fees are separate from and in addition to Stripe's payment processing fees
• We reserve the right to modify platform fee rates with 30 days advance notice

Payment Terms and Responsibilities:

• You are solely responsible for the accuracy of payment amounts on your proposals
• All payment disputes must be resolved directly between you and your client
• Propefai is not a party to your transactions and does not guarantee payment from clients
• You must comply with all applicable payment card industry (PCI) standards
• Chargebacks, refunds, and payment disputes are subject to Stripe's policies
• We reserve the right to suspend payment processing for accounts that violate these terms
• Failed or declined payments do not incur platform fees

Account Verification:

• Stripe may require identity verification and business documentation to activate your account
• You must provide accurate and complete information during the verification process
• Processing capabilities may be limited until verification is complete

6. Acceptable Use Policy

You agree NOT to use the Service to:

• Violate any laws or regulations
• Infringe on intellectual property rights of others
• Transmit malicious code, viruses, or harmful software
• Engage in automated data collection (scraping, crawling) without permission
• Generate content that is illegal, harmful, threatening, abusive, or discriminatory
• Impersonate any person or entity
• Interfere with or disrupt the Service or servers
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to spam or send unsolicited communications
• Resell or redistribute the Service without permission

7. Intellectual Property Rights

Service Ownership:

• The Service, including all software, designs, text, graphics, and logos, is owned by Propefai
• You may not copy, modify, distribute, or create derivative works without permission
• All trademarks and brand names are the property of their respective owners

User Content:

• You retain ownership of proposals and content you create using the Service
• You grant us a license to process, store, and display your content to provide the Service
• AI-generated content is provided "as is" and you are responsible for reviewing and editing
• We do not claim ownership of your final proposals or business content

8. AI-Generated Content

Important disclaimers about AI-generated content:

• No Guarantees: AI-generated content may contain errors, inaccuracies, or biases
• Review Required: You must review and verify all AI-generated content before use
• Your Responsibility: You are solely responsible for content in your final proposals
• Professional Advice: AI content is not a substitute for professional legal, financial, or business advice
• Third-Party Claims: We are not liable for claims arising from your use of AI-generated content

9. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. We collect, use, and protect your data as described in that policy. By using the Service, you consent to our data practices.

10. Disclaimers and Limitations of Liability

Service Provided "As Is":

• The Service is provided on an "as is" and "as available" basis
• We make no warranties, express or implied, regarding the Service
• We do not guarantee uninterrupted, timely, secure, or error-free operation
• We do not warrant that results will meet your requirements

Limitation of Liability:

To the maximum extent permitted by law, Propefai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months prior to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Propefai and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Content you create or share using the Service

12. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Extended periods of inactivity
• Request by law enforcement or government agencies

Upon termination, your right to use the Service will cease immediately. You may export your data before termination takes effect.

13. Dispute Resolution

Informal Resolution: Before filing a claim, you agree to contact us at legal@propefai.ai to attempt to resolve the dispute informally.

Governing Law: These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.

Arbitration: Any disputes not resolved informally shall be resolved through binding arbitration, except where prohibited by law.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with the changes, you must stop using the Service.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Propefai
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect
• Waiver: No waiver of any term shall be deemed a further or continuing waiver
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control
